1. Agreement to Terms
By accessing or using InstaFreight’s websites, apps, or services, you agree to these Terms. If you use the services on behalf of a company, you represent you have authority to bind that company.
2. Services
InstaFreight provides software tools for quoting, booking, tracking, and managing shipment documentation across modes (sea, air, road, rail, courier). We are not a carrier; carriage is performed by third-party logistics providers.
3. Accounts
- Provide accurate information and keep credentials secure.
- You are responsible for activity under your account.
4. Acceptable Use
- No unlawful, infringing, or harmful activities.
- No scraping or rate abuse; no security testing without prior written consent.
- No uploading malicious code or violating export/sanctions controls.
5. Quotes, Bookings & Fees
- Quotes may be based on volatile inputs (fuel, surcharges, capacity) and may change until confirmed.
- Booking confirmations are subject to partner acceptance and compliance checks.
- Additional charges may apply (e.g., demurrage, detention, storage, customs).
6. Third-Party Providers
Transit, handling, brokerage, and last-mile services are performed by independent providers. InstaFreight is not responsible for their acts/omissions. Their terms may apply.
7. Compliance
You are responsible for compliance with all applicable laws (customs, export controls, sanctions, dangerous goods, data protection) and for providing accurate information and documentation.
8. Intellectual Property
We retain all rights in the services and content. You may not copy, modify, reverse engineer, or create derivative works except as permitted by law.
9. User Content
You grant us a worldwide, non-exclusive license to host, process, and display your content solely to provide and improve the services. You represent you have the necessary rights to the content you upload.
10. Confidentiality
Each party will protect the other’s confidential information and use it only for the purposes of these Terms.
11. Privacy
Our Privacy Policy explains how we process personal data.
12. Disclaimers
The services are provided “as is” and “as available”. We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted or error-free operation.
13. Limitation of Liability
To the maximum extent permitted by law, InstaFreight will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data. Our total liability is limited to the fees paid to us for the service giving rise to the claim in the 12 months preceding the event.
14. Indemnity
You will indemnify and hold InstaFreight harmless from claims arising out of your use of the services, your content, or your violation of these Terms or applicable law.
15. Suspension & Termination
We may suspend or terminate access for breach, legal/compliance concerns, or security risk. You may stop using the services at any time.
16. Governing Law & Disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflicts rules. Disputes will be resolved in the courts or via arbitration as permitted by applicable law.
17. Changes
We may revise these Terms; updated versions will be posted with the “Last updated” date.
